This Refund Policy supplements and forms part of Section 11 (Subscription Fees, Billing, and Cancellation) of our Terms of Use. Please read it carefully together with our Terms before completing any purchase. By submitting an order, you confirm that you have read, understood, and accepted this Refund Policy.

本退款政策是我们《服务条款》第 11 条(订阅费用、计费与取消)的补充并构成其组成部分。请您在完成任何购买前与《服务条款》一并仔细阅读。提交订单即表示您已阅读、理解并接受本退款政策。

This Refund Policy ("Policy") is issued by MORNING STAR INDUSTRY LIMITED, a company incorporated in Hong Kong, operator of the Flux Art platform at https://flux-art.ai (the "Services"). This Policy expands on, and operates as a binding supplement to, Section 11 of the Terms of Use ("Terms"). Capitalized terms not defined here have the meanings given in the Terms. If there is any conflict between this Policy and the Terms, the more specific provision applicable to the refund matter shall prevail.

Where applicable mandatory consumer protection law grants you a right that is more favorable than the terms set out below (for example, a statutory cooling-off period), that mandatory right is preserved and applies notwithstanding any provision of this Policy.

Scope and Application

This Policy applies to all paid transactions on the Services, including but not limited to:

  • monthly and annual subscription plans (Pro, Max, Ultra, or other tiers we may offer);
  • one-time credit packs and top-up purchases;
  • add-on entitlements, model access, and premium features; and
  • any other paid services or digital content delivered through the platform.

This Policy does not apply to free trials, promotional credits, redeem-code grants, complimentary benefits, or any benefit obtained without monetary payment, all of which are non-refundable and non-transferable.

Pre-Purchase Transparency — Your Acknowledgement

Before completing any purchase, the price, billing model, billing cycle, included credits, and the scope of membership entitlements are clearly displayed on our pricing page (https://flux-art.ai/pricing) and on the secure checkout page provided by our authorized payment processor. The currency, total amount charged, renewal frequency, and applicable taxes are presented to you for review prior to confirmation.

By clicking the payment confirmation button, you acknowledge that:

  • you have carefully reviewed the price, billing model, billing cycle, and entitlements;
  • you have read and accepted the Terms of Use, this Refund Policy, and the Privacy Policy;
  • you understand that digital content and AI services begin to be performed immediately upon purchase; and
  • you are authorized to use the payment method submitted.

User-Initiated Refunds (Reasons Attributable to You)

"User-Initiated Refunds" means refund requests submitted by you for reasons attributable to your own decision or circumstances, including but not limited to: change of mind, accidental purchase, mistaken plan selection, duplicate purchase that you nevertheless authorized, no longer needing the service, dissatisfaction without a service defect on our side, or any other personal reason.

We accept User-Initiated Refund requests subject to all of the following conditions being satisfied:

  • the request is submitted within fourteen (14) days of the original purchase (or such longer period as required by mandatory consumer-protection law applicable to you);
  • no credits granted by the order in question have been consumed, and no premium entitlement granted by the order has been exercised in a non-trivial manner;
  • the order is not part of a campaign, promotion, or bundle that is expressly marked as non-refundable; and
  • the account is in good standing and has not previously abused refund processes.

Where the request is accepted, we will refund the full order amount to the original payment method. Where the payment was made in a currency different from your card's billing currency, the converted amount you receive may differ from the amount you originally paid due to exchange-rate movement between the two transactions; this difference is determined by your card issuer or payment network and is not retained by us.

Where applicable law permits, irrecoverable third-party transaction fees (such as non-refundable payment-processing fees) may be deducted from the refunded amount; in such cases, the deduction will be itemized and communicated to you before processing.

We reserve the right to decline a request where the conditions above are not satisfied or where the request appears abusive (for example, repeated buy-then-refund patterns, evidence of credit consumption immediately before the refund request, or evidence of attempted resale of generated content).

Forgotten Auto-Renewals

We understand that subscriptions can sometimes auto-renew before you remember to cancel. If your subscription auto-renewed and you have not consumed any credits granted by the renewed cycle, you may request a refund of that renewal charge by contacting [email protected] within seven (7) days of the renewal date.

Approved refunds in this category will be issued in full to the original payment method. Once any credits from the renewed cycle have been consumed, or seven (7) days have elapsed since the renewal date, the renewal charge becomes subject to the standard non-refundability rules in Section 5.

This accommodation reflects our commitment to fair subscription practices, including the standards expected under the U.S. Federal Trade Commission's "Click-to-Cancel" framework, California's Automatic Renewal Law (ARL), the EU Unfair Commercial Practices Directive, and the U.K. Digital Markets, Competition and Consumers Act 2024.

Non-Refundable Circumstances

Except where required by mandatory consumer-protection law, the following are not eligible for refund:

  • orders for which any credits have been consumed, in whole or in part;
  • orders for which any premium entitlement has been exercised (e.g., 4K generation, watermark-free output, premium model invocation);
  • subscription periods that have elapsed in whole or in part (no prorated refunds for partially used cycles);
  • amounts already deducted by upstream payment processors and not recoverable to us;
  • renewal charges in respect of which any credits granted by the renewed cycle have been consumed, or in respect of which more than seven (7) days have elapsed since the renewal date without a refund request being submitted under Section 4;
  • promotional credits, redeem-code grants, gifts, signup bonuses, and any benefit not paid for in money;
  • orders flagged as fraudulent, abusive, or violating Section 7 (Acceptable Use) of the Terms of Use;
  • orders where the Service has been used, attempted to be used, or instructed to be used to generate, request, transmit, or distribute any content that is illegal, infringing, harmful, or otherwise prohibited — including without limitation: (i) child sexual abuse material (CSAM), sexualization of minors, or any sexual content depicting persons under 18; (ii) adult, pornographic, sexually explicit, sexually suggestive, or otherwise NSFW content of any kind, regardless of consent or local legality; (iii) non-consensual intimate imagery, "nudify" content, or sexually explicit deepfakes of any identifiable person; (iv) content that infringes third-party intellectual property, trademark, publicity, or personality rights — including unauthorized reproductions of copyrighted works, recognizable copyrighted characters, brand logos used deceptively, or recognizable likenesses of real persons without verifiable consent; (v) misleading content involving politicians, government officials, candidates, elections, ballots, or voting infrastructure, including AI-generated audio/image/video falsely attributed to a real public figure, fabricated quotes presented as authentic, deceptive election advertising, and voter-suppression material; (vi) terrorist or violent-extremist content, content depicting or facilitating violence against persons, or hate speech; (vii) fraudulent or deceptive content, malware or phishing payloads, content designed to harass or defame; or (viii) any other content that violates our Acceptable Use rules or applicable platform-content laws (for example, the EU Digital Services Act, the U.S. Take It Down Act, the U.K. Online Safety Act, or equivalent regulations);
  • orders where your use of the Service violates the laws or regulations applicable to you, including without limitation the laws of the jurisdiction in which you reside, in which you access the Service, in which the generated content is uploaded, distributed, or made available, or any export-control, sanctions, content-classification, data-protection, anti-fraud, or tax law applicable to your activity. You are solely responsible for ensuring that your use of the Service is lawful in every applicable jurisdiction; and
  • requests submitted beyond the time window stated in Section 4.

For the avoidance of doubt: any order in which the Service was used to generate violating content, or in which your activity contravenes the law of any applicable jurisdiction, is final, non-refundable, and not subject to prorated credit, regardless of whether the violation was identified before, during, or after content generation. We further reserve the right to suspend or terminate the offending account, retain unused credits, preserve relevant records, and cooperate with law-enforcement and regulatory authorities.

Forfeiture as Liquidated Damages. Where an account is terminated, or unused credits or subscription periods are withheld, on the basis of violating or unlawful use as described above, such forfeiture is agreed by the parties to constitute liquidated damages reflecting our investigation, enforcement, content-takedown, regulatory-reporting, and reputational costs, the precise quantum of which would be impractical to calculate at the time of contracting. The parties further agree that the forfeited amount represents a genuine pre-estimate of such losses. Forfeiture under this paragraph is a contractual remedy and not a refund matter; chargebacks initiated by you in respect of forfeitures imposed under this paragraph will be defended as friendly fraud in accordance with Section 8.

Where the law of your jurisdiction provides a non-waivable statutory right (for example, an EU/UK 14-day cooling-off right for distance contracts), that right is preserved. Note, however, that (i) statutory withdrawal rights do not extend to orders associated with unlawful use, and (ii) under Article 16(m) of EU Directive 2011/83/EU (and the equivalent provision under Regulation 37(1)(a) of the U.K. Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013), the right of withdrawal for digital content does not apply once performance has begun with your prior express consent and your acknowledgement that you thereby lose your right of withdrawal. By initiating a generation, redeeming credits, or otherwise actively using the Service after purchase, you provide such consent.

Service-Side Refunds (Reasons Attributable to Us)

Where a refund is necessitated by a verified service-side cause directly attributable to us — for example, prolonged unavailability of paid features lasting more than twenty-four (24) consecutive hours and not reasonably remedied, recurring unavailability of paid features accumulating to more than forty-eight (48) hours within a single billing cycle, duplicate charges caused by our billing system, or charges made without your authorization following our verification — we will refund the corresponding amount on a pro-rata or full basis (as appropriate) and, where commercially reasonable, absorb the related third-party transaction fees ourselves.

Routine maintenance windows, third-party model outages, regional regulatory restrictions, force majeure events, and content moderation refusals consistent with Section 7 (Acceptable Use) of the Terms of Use do not constitute service-side causes for the purposes of this Section.

How to Request a Refund

To submit a refund request, please email [email protected] from the email address registered with your Flux Art account, including:

  • your account email and user ID;
  • the order ID, payment date, and amount;
  • the payment method used (e.g., credit card, regional payment app); and
  • a clear reason for the request.

We will review and respond within seven (7) business days of receipt. Approved refunds will be issued to the original payment method only. The processing time required by your card issuer or payment provider (typically five to ten business days, sometimes longer for cross-border transactions) is outside our control.

Chargebacks and Payment Disputes

We encourage you to contact us first before initiating a chargeback or dispute with your bank or card issuer; most issues can be resolved more quickly through our support channel. Initiating a chargeback for a charge that you in fact authorized and benefited from may constitute "friendly fraud" and may result in:

  • immediate suspension or termination of your account;
  • reversal of any output, credits, or content associated with the disputed order;
  • recovery of the disputed amount together with any chargeback or dispute fees levied by our payment processor or the card network; and
  • referral to collections or to the appropriate authorities where warranted.

We retain the right to dispute illegitimate chargebacks with the relevant payment processor and to submit evidence of authorization, delivery, and consumption.

Changes to this Policy

We may update this Policy from time to time to reflect changes in the Services, in our payment partnerships, or in applicable law. Material changes will be communicated through the Services or by email. The date of the latest revision is indicated at the top of this page. Orders placed before a revision are governed by the version of this Policy in effect at the time of the order.

本《退款政策》(以下简称"本政策")由在香港注册成立的 MORNING STAR INDUSTRY LIMITED(即 Flux Art 平台 https://flux-art.ai 的运营方,以下简称"本服务")发布。本政策是《服务条款》(以下简称"《条款》")第 11 条(订阅费用、计费与取消)的具体展开,并作为《条款》具有约束力的补充组成部分。本政策未定义的术语,应具有《条款》中赋予的含义。本政策与《条款》如有冲突,以更具体地适用于退款事项的条款为准。

如适用的强制性消费者保护法律赋予您比以下条款更有利的权利(例如法定冷静期),该等强制性权利仍受保护,且不受本政策任何相反规定的影响。

适用范围

本政策适用于本服务上所有付费交易,包括但不限于:

  • 月度与年度订阅方案(Pro、Max、Ultra 或我们未来提供的其他档位);
  • 一次性积分包及充值订单;
  • 附加权益、模型访问权与高级功能;以及
  • 通过本平台交付的任何其他付费服务或数字内容。

本政策不适用于免费试用、促销赠送积分、兑换码发放、附赠权益或任何未经货币支付获取的权益,上述各项均不予退款,亦不可转让。

购买前的信息披露——您的确认

在您完成任何购买之前,价格、收费模式、计费周期、所含积分及会员权益的范围均已在本服务的定价页面(https://flux-art.ai/pricing)以及由我们授权的支付处理机构提供的安全收银台页面上明确展示。结算币种、扣款总金额、续费频率及适用的税费均在您最终确认前向您完整呈现。

点击支付确认按钮即表示您确认:

  • 您已仔细查阅价格、收费模式、计费周期与权益;
  • 您已阅读并接受《服务条款》、本《退款政策》与《隐私政策》;
  • 您理解数字内容与 AI 服务自购买完成时即开始履行;及
  • 您有权使用所提交的支付方式。

用户原因的退款申请

"用户原因退款"是指您因自身决策或情况而提出的退款申请,包括但不限于:购后反悔、误操作下单、错误选择方案、虽经授权但属重复下单、不再需要相关服务、对服务本身并无瑕疵但您个人不满意、或任何其他您个人方面的原因。

我们在以下条件全部满足时受理用户原因的退款申请:

  • 申请在原订单完成之日起 14 天内提出(如适用于您的强制性消费者保护法律规定了更长期限,则以更长期限为准);
  • 该订单所发放的积分尚未被使用,且该订单所发放的高级权益未被实质性行使;
  • 该订单未参与明示不可退款的活动、促销或捆绑销售;且
  • 账户状态良好,且此前未存在滥用退款流程的情形。

申请被受理的,我们将按订单金额全额退回至原支付方式。如付款币种与您卡片账单币种不一致,因您付款时点与退款时点之间汇率波动,您最终收到的退款金额可能与原始扣款金额有所不同;该等差额由您的发卡行或支付网络决定,并非由我们截留。

在适用法律允许的范围内,对支付处理机构不予退还给我们的第三方交易手续费(例如不可退还的支付通道费),可在退款金额中相应扣除;如发生该等扣除,我们将在退款处理前向您逐项告知。

对于不满足上述条件或申请明显构成滥用的情形(例如反复购买—退款的行为模式、有证据表明在申请退款前刚刚消耗积分,或有证据表明已尝试转售生成内容等),我们保留拒绝受理的权利。

忘记取消的自动续费

我们理解订阅有时会在您来得及取消前自动续费。如您的订阅发生了自动续费,且您尚未使用该续费周期所发放的任何积分,您可在续费日起 7 天内通过 [email protected] 申请退款。

此类经审核通过的退款将原路全额退回至原支付方式。一旦该续费周期所发放的任何积分已被使用,或自续费日起已超过 7 天,该续费订单将按本政策第 5 条所述的一般不予退款规则处理。

上述安排体现我们对公平订阅实践的承诺,亦回应包括美国联邦贸易委员会"Click-to-Cancel"框架、加州《自动续费法》(ARL)、欧盟《不公平商业行为指令》以及英国《2024 数字市场、竞争与消费者法》在内的相关监管期望。

不予退款的情形

除强制性消费者保护法律另有规定外,以下情形不予退款:

  • 订单所发放的积分已被使用(无论全部或部分);
  • 订单所授予的高级权益已被行使(例如 4K 生成、无水印输出、高级模型调用等);
  • 订阅周期已经全部或部分经过(已部分使用的周期不按比例退款);
  • 已被上游支付机构截留且我们无法收回的金额;
  • 续费订单所发放的积分已被使用,或自续费日起已超过 7 天且未根据本政策第 4 条提交退款申请的续费订单;
  • 促销积分、兑换码发放、赠送、注册奖励及任何未经货币支付获取的权益;
  • 被认定为欺诈、滥用或违反《服务条款》第 7 条(可接受使用规则)的订单;
  • 使用本服务生成、请求生成、传输或传播任何违法、侵权、有害或其他被禁止内容的订单,包括但不限于:(i)儿童性虐待材料(CSAM)、对未成年人性化处理或任何描绘未满 18 周岁人士的性内容;(ii)任何形式的成人、色情、性暗示、性挑逗或 NSFW 内容,无论是否经当事人同意,亦无论在您所在地区是否合法;(iii)未经同意的私密影像、"一键脱衣"内容,或针对任何可识别人物的性化深度伪造;(iv)侵犯第三方知识产权、商标、形象权或人格权的内容——包括未经授权对受版权保护作品的复制、可识别的受版权保护角色、欺骗性使用的品牌标识,或在未获可验证同意的情况下生成的真实自然人形象;(v)涉及政治人物、政府官员、候选人、选举、选票或投票基础设施的误导性内容,包括被错误归于真实公众人物的 AI 音 / 视 / 图、被冒充为真实的虚构言论、欺骗性选举广告,以及压制选民的相关材料;(vi)恐怖主义或极端暴力内容、煽动针对他人暴力的内容,或仇恨言论;(vii)欺诈或欺骗性内容、恶意软件或钓鱼载荷、用于骚扰或诽谤的内容;或(viii)任何其他违反我们可接受使用规则或适用平台内容法律(例如欧盟《数字服务法》、美国《Take It Down Act》、英国《在线安全法》或同等法规)的内容;
  • 您对本服务的使用违反适用于您的法律法规的订单,包括但不限于:您居住地、您访问本服务所在地、所生成内容被上传/传播/提供所在地的法律,以及任何适用于您行为的出口管制、制裁、内容分级、数据保护、反欺诈或税务法规。您独自承担在每一个适用司法管辖区合法使用本服务的全部责任;以及
  • 超出本政策第 4 条规定时限提出的申请。

为免疑义:任何使用本服务生成违规内容的订单,或您的行为违反任何适用司法管辖区法律的订单,均属最终订单、不予退款、不按比例折算,且无论该违规行为是在内容生成之前、之中还是之后被发现均同。我们同时保留暂停或终止违规账户、留存未使用积分、保存相关记录,以及配合执法和监管机构的权利。

违约金性质的没收。因上述违规或违法使用而被终止账户、留存未使用积分或扣留剩余订阅期限的,双方约定该等没收金额构成违约金(liquidated damages),用以反映我们的调查、执法、内容下架、监管报告及声誉损害等成本——该等成本在订立合同时无法精确量化,但双方同意被没收金额构成对该等损失的真实事前评估。本款项下的没收属合同救济措施,并非退款事项;针对依本款没收事项由您发起的拒付(chargeback),我们将依本政策第 8 条按"友善欺诈"进行抗辩。

如您所在司法管辖区的法律赋予您不可放弃的法定权利(例如欧盟/英国针对远程合同的 14 天冷静期),该等权利仍受保护。但请注意:(i)法定撤回权不适用于与违法使用相关的订单;(ii)根据欧盟指令 2011/83/EU 第 16(m) 条(及英国《2013 消费者合同(信息、撤回与附加费用)条例》第 37(1)(a) 条的同类规定),数字内容的撤回权在您事先明示同意立即开始履行并确认因此丧失撤回权后即不再适用。您在购买后启动生成、使用积分或以其他方式实际使用本服务,即视为作出上述同意。

平台原因的退款

如退款是因经核实属于直接归责于我们的服务原因——例如付费功能连续 24 小时以上不可用且未获合理修复、付费功能在单个计费周期内累计不可用时间超过 48 小时、因我们的计费系统导致的重复扣款、或经核实属未经您授权的扣款——我们将按情形以全额或按比例方式退还相应金额,并在商业合理的范围内自行承担相关的第三方交易手续费。

常规维护窗口、第三方模型故障、地区监管限制、不可抗力事件,以及与《服务条款》第 7 条(可接受使用规则)一致的内容审核拒绝,均不构成本条所述的"平台原因"。

退款申请方式

请使用您 Flux Art 账户注册邮箱,向 [email protected] 发送邮件提交退款申请,并提供:

  • 账户邮箱与用户 ID;
  • 订单号、支付时间与金额;
  • 所用支付方式(例如信用卡、地区性支付应用等);以及
  • 明确的申请理由。

我们将在收到申请之日起 7 个工作日内审核并答复。经审核通过的退款仅原路退回至原支付方式。发卡行或支付机构所需的入账时间(通常为 5 至 10 个工作日,跨境交易可能更长)不在我们的控制范围内。

拒付与支付争议

建议您在向银行或发卡机构发起拒付或争议之前先与我们联系,绝大多数问题可通过我们的客服渠道更快地解决。对您实际授权并已享有相应服务的扣款发起拒付可能构成"友善欺诈"(friendly fraud),并可能导致:

  • 立即暂停或终止您的账户;
  • 撤回该订单相关的全部产出、积分或内容;
  • 追偿被拒付金额,并追偿我们的支付处理机构或卡组织收取的拒付或争议处理费用;以及
  • 在适当情形下移交催收机构或相关主管部门处理。

对于不正当的拒付,我们保留向相关支付处理机构进行抗辩并提交授权、交付与使用证据的权利。

本政策的变更

我们可能因本服务、支付合作或适用法律的变化而不时更新本政策。如有重大变更,将通过本服务或邮件方式通知您。本页顶部标注的修订日期为最新版本日期。变更前已下单的订单适用下单时有效的本政策版本。
