Welcome to Flux Art, operated by MORNING STAR INDUSTRY LIMITED, a company incorporated in Hong Kong ("Flux Art," "Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the website located at https://flux-art.ai, together with any related websites, applications, software, APIs, tools, and services we provide (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
Eligibility
You must be at least 18 years old, or the minimum age required by the laws of your jurisdiction, whichever is higher, to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian.
By using the Services, you represent and warrant that:
- you have the legal capacity to enter into these Terms;
- you will comply with these Terms and all applicable laws and regulations; and
- all information you provide to us is accurate, current, and complete.
Our Services
Flux Art provides AI-powered creative and productivity tools, including but not limited to image generation, image editing, style transformation, prompt-based creation, content enhancement, and other AI-assisted functions.
The Services may be provided through the Flux Art website, browser-based interfaces, mobile applications, desktop applications, APIs, integrations, and other channels that we may make available from time to time.
Unless expressly stated otherwise by us in writing, the Services are general-purpose services and are not designed to comply with industry-specific regulatory requirements, including but not limited to HIPAA, FISMA, or similar frameworks. You must not use the Services where such compliance is required.
Account Registration and Security
To access certain features of the Services, you may be required to create an account. You agree to provide accurate and complete registration information and to keep such information updated.
You are responsible for:
- safeguarding your login credentials;
- all activities that occur under your account; and
- notifying us promptly if you believe your account has been accessed without authorization.
We reserve the right to suspend or terminate any account that provides false information, violates these Terms, or poses a legal, security, or reputational risk.
User Inputs and Outputs
You may submit text, prompts, images, files, instructions, feedback, or other materials to the Services ("Inputs"). The Services may generate results based on your Inputs, including images, text, edits, transformations, designs, or other materials ("Outputs"). Inputs and Outputs are collectively referred to as "User Content."
You represent and warrant that:
- you own or have obtained all rights, licenses, consents, and permissions necessary to submit your Inputs to the Services;
- your Inputs, and your use of the Outputs, do not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, confidentiality, contract, or other rights of any third party; and
- your User Content and use of the Services comply with these Terms and applicable law.
You are solely responsible for your User Content and for your decision to use, publish, share, license, commercialize, or otherwise rely on any Outputs.
Use of Inputs and Outputs for Model Training. We do not use your Inputs or Outputs to train our own foundational AI models. To the extent that the third-party model providers we integrate with may use submitted content for their own training or service-improvement purposes, such use is governed by those providers' own policies. Where commercially available, we configure our integrations to disable third-party training on your content, and we make reasonable efforts to honor opt-out arrangements offered by such providers.
Ownership of Inputs and Outputs
As between you and Flux Art, and subject to your compliance with these Terms:
- you retain ownership of your Inputs; and
- to the extent permitted by applicable law, you own the Outputs generated for you through your use of the Services.
You acknowledge, however, that the copyrightability, registrability, and legal protection of AI-generated content varies by jurisdiction and remains an evolving area of law. We make no representation that any Output will qualify for copyright, trademark, patent, design, or other intellectual-property registration or protection, and the inability of an Output to obtain any such registration or protection shall not give rise to any claim against Flux Art.
Subject to these Terms, you may use, reproduce, modify, display, distribute, publish, and commercialize your Outputs for lawful purposes.
However, you acknowledge and agree that:
- Outputs may not be unique, and other users may receive similar or identical outputs;
- we do not guarantee that any Output will be eligible for copyright, trademark, or other intellectual property protection;
- you are solely responsible for reviewing Outputs before relying on or using them; and
- Flux Art does not represent or warrant that your use of any Output will not infringe or violate any third-party rights.
License You Grant to Flux Art
You grant Flux Art a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, transmit, display, and otherwise process your User Content solely as necessary to:
- operate, maintain, and provide the Services;
- improve, develop, and secure the Services;
- prevent fraud, abuse, unlawful conduct, and security threats;
- comply with legal obligations; and
- enforce these Terms.
We will not claim ownership of your User Content solely because you use the Services.
Upon termination of your account or deletion of specific User Content by you, the license granted above will terminate, except that it will survive solely to the extent necessary for our legitimate business purposes, including legal and regulatory compliance, dispute resolution, fraud and abuse prevention, security investigations, and the retention of backup or archival copies in accordance with our standard data-retention practices.
If you submit feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback without restriction or compensation to you.
Acceptable Use
You agree not to use, or allow others to use, the Services to:
- violate any applicable law or regulation;
- use the Services from, for the benefit of, or on behalf of any person, entity, organization, or jurisdiction subject to comprehensive economic or trade sanctions or export-control restrictions administered by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom, Hong Kong, or any other relevant authority, or otherwise engage in any activity that would cause Flux Art to violate applicable sanctions, anti-money-laundering, anti-terrorism, or export-control laws;
- infringe, misappropriate, or violate the rights of others;
- generate, upload, or distribute unlawful, defamatory, fraudulent, abusive, harassing, hateful, or otherwise objectionable content;
- generate, upload, request, transmit, or distribute any adult, pornographic, sexually explicit, sexually suggestive, or otherwise NSFW content, whether or not it depicts a real person, whether or not consent has been obtained, and whether or not it is lawful in your jurisdiction. Flux Art is not licensed as an adult-content service and adult content is strictly prohibited on the Services regardless of context;
- create, promote, or distribute any content involving child sexual abuse, child exploitation, the sexualization of minors, or any material that depicts, simulates, or implies sexual conduct involving anyone under the age of 18;
- create non-consensual intimate imagery (including so-called "nudify" or undressing content), sexually explicit deepfakes of any identifiable person, exploitative or harassing synthetic media, or deceptive impersonations of any individual;
- generate or distribute content that infringes the intellectual property, trademark, publicity, or personality rights of any third party, including without limitation: (i) unauthorized reproductions of copyrighted works (films, television, anime, books, photographs, illustrations, music, or game assets); (ii) recognizable copyrighted characters or franchises generated outside fair-dealing/fair-use contexts; (iii) brand logos, marks, packaging, or trade dress used to mislead or to ride on the goodwill of the rights holder; (iv) recognizable likenesses of real, identifiable persons (including public figures, celebrities, and private individuals) without their verifiable consent; and (v) the deliberate mimicry of a specific living artist's signature style where the output is presented or marketed as being by, or endorsed by, that artist;
- generate, publish, or distribute misleading content involving politicians, government officials, candidates for office, election processes, ballots, voting infrastructure, or other content reasonably likely to interfere with democratic participation, including AI-generated audio, images, or video falsely attributed to a real public figure, fabricated quotes presented as authentic, deceptive election advertising, and content intended to suppress, intimidate, or mislead voters;
- engage in fraud, phishing, spam, scams, deceptive advertising, fake-review generation, identity theft, or any other misleading conduct;
- develop or distribute malware, ransomware, malicious code, harmful scripts, or instructions facilitating cyber-attacks, unauthorized intrusion, or circumvention of security controls;
- interfere with, disrupt, overload, or compromise the integrity, security, or performance of the Services;
- reverse engineer, decompile, scrape, copy, extract, or otherwise attempt to derive source code, underlying models, datasets, or system components, except as expressly permitted by applicable law; or
- use the Services in any way that could harm Flux Art, its users, or the public.
We may investigate violations and may remove content, suspend access, retain unused credits, preserve evidence, and report conduct to law enforcement, regulators, or third-party rights holders where appropriate.
Content Moderation and Enforcement
We deploy a combination of automated content-safety systems and human review to identify and act on User Content or account activity that may violate these Terms, the Acceptable Use rules, or applicable law. Our moderation program includes, without limitation:
- Pre-generation prompt filtering — incoming prompts and reference materials are screened against safety classifiers and keyword/policy filters designed to detect CSAM, non-consensual intimate imagery, sexual content involving real persons, recognizable copyrighted characters, and other prohibited categories;
- Upstream model safety layers — third-party model providers we integrate with apply their own safety classifiers and refusal mechanisms, which we honor without override;
- Post-generation output scanning — generated images and videos are scanned for prohibited categories before delivery, and outputs flagged with high confidence are blocked, quarantined, or removed;
- User reporting channel — any person may report suspected violations to [email protected], and intellectual-property complaints may be submitted via our Copyright & IP Complaints Policy;
- Hash-matching and known-bad detection — where applicable, we use industry-standard hash lists (including for known CSAM) and pattern-based detection to prevent re-uploads of confirmed violating material;
- Account-level signals and abuse scoring — repeat violations, fraud indicators, and abnormal usage patterns trigger escalated review and progressive enforcement;
- Record retention and law-enforcement cooperation — confirmed CSAM is reported to the relevant authorities (such as NCMEC or its equivalent) where required by law, and we preserve evidence and account records consistent with applicable legal obligations.
Our graduated enforcement actions include warnings, prompt rejection, output blocking, content removal, feature restriction, credit forfeiture, account suspension, permanent termination, and, where appropriate, referral to law enforcement, payment processors, and regulators.
While we make commercially reasonable efforts to enforce these rules, no automated or human moderation system is perfect, and we do not warrant that every violating piece of content will be detected and prevented. The decision to publish, share, or further distribute any Output rests with you, and you remain responsible for your conduct and content.
Intellectual Property Rights in the Services
The Services, including all software, source code, models, algorithms, user interfaces, designs, trademarks, logos, graphics, compilations, and other materials made available by Flux Art, are owned by or licensed to Flux Art and are protected by intellectual property and other applicable laws.
Except as expressly permitted under these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or otherwise exploit any part of the Services without our prior written consent.
"Flux Art" and any related names, logos, and branding are trademarks or trade dress of the Company or its affiliates. You may not use them without prior written permission.
Copyright and Intellectual Property Complaints
Flux Art respects intellectual property rights and expects users to do the same. We maintain a separate Copyright & IP Complaints Policy that sets out our full procedure for submitting infringement notices, counter-notices, and our repeat-infringer policy. Please refer to that policy for the authoritative process and required information.
In summary, notices of alleged infringement should be sent to [email protected] and must include:
- identification of the work or right claimed to be infringed;
- identification and location (URL or account ID) of the allegedly infringing material;
- your name, address, telephone number, and email;
- a statement of your good-faith belief that the use is not authorized;
- a statement, under penalty of perjury (or equivalent declaration of truthfulness), that the information is accurate and that you are the rights holder or authorized to act on their behalf; and
- your physical or electronic signature.
We will respond to properly submitted notices within a reasonable time, will remove or disable access to allegedly infringing content where appropriate, and will terminate the accounts of users determined to be repeat infringers.
Subscription Fees, Billing, and Cancellation
11.1 Subscription Fees and Auto-Renewal
By subscribing to our AI tools and services (the "Service"), you agree to pay the recurring subscription fees associated with your chosen plan. Your subscription will automatically renew at the end of each billing cycle (e.g., monthly) unless you cancel it. You authorize MORNING STAR INDUSTRY LIMITED and our authorized third-party payment processors to automatically charge your designated payment method for the renewal term.
11.2 Billing Cycle
The subscription fee will be billed pre-pay at the beginning of your billing cycle. If your payment method fails to process, we reserve the right to downgrade your account or suspend your access to premium features until a valid payment is successfully processed.
11.3 Cancellation Policy
You may cancel your subscription at any time through your account settings dashboard or by contacting our support team at [email protected]. To avoid being charged for the next billing cycle, you must cancel your subscription before the current cycle ends. Upon cancellation, you will continue to have access to the Service's premium features until the end of your currently paid billing period.
11.4 Refund Policy
Except as required by applicable law, subscription fees are non-refundable once any credits (the AI generation units allocated by your subscription order) have been consumed. If you have not consumed any credits granted by a subscription order, you may request a refund of that order by contacting [email protected].
Refunds will be processed to the original payment method. Where the refund involves currency conversion, the converted amount you receive may differ from the amount originally charged due to exchange-rate fluctuations between the time of payment and the time of refund, and we are not responsible for such differences. Payment-processor fees, currency-conversion charges, and other transaction costs that are non-refundable to us under our agreements with our payment processors or financial intermediaries may, where lawfully permitted, be deducted from the refunded amount; we will inform you of any such deduction before processing the refund.
We will review and respond to refund requests within seven (7) business days of receipt. Beyond the foregoing, we do not provide prorated refunds or credits for partially used subscription periods, partially consumed credits, or unused account features.
11.5 Unauthorized Charges & Account Compromise
You are responsible for maintaining the security of your account credentials. However, if you believe your account has been compromised and unauthorized AI subscription charges have occurred, please contact us immediately at [email protected]. Upon verification of an Account Takeover (ATO), we will refund the unauthorized charges and assist you in securing your account.
Third-Party Services
The Services may contain links to, integrations with, or functionality provided by third-party websites, applications, products, or services. We do not control and are not responsible for any third-party services, content, policies, or practices.
Your use of third-party services is governed by the terms and policies of those third parties.
Beta or Experimental Features
We may make available certain features identified as beta, preview, early access, or experimental. Such features may be incomplete, unreliable, or subject to change or discontinuation at any time without notice.
Beta or experimental features are provided on an "as is" and "as available" basis without any warranties.
Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUX ART DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.
We do not warrant that:
- the Services will be uninterrupted, secure, or error-free;
- any Output will be accurate, complete, lawful, non-infringing, or suitable for your intended purpose;
- defects will be corrected; or
- the Services will meet your expectations or requirements.
AI-generated content may be inaccurate, incomplete, biased, offensive, or inappropriate. You are solely responsible for evaluating and verifying Outputs before relying on or using them.
Nothing in these Terms excludes, restricts, or modifies any condition, warranty, right, or remedy that cannot lawfully be excluded or limited under the laws of Hong Kong, including where applicable under the Control of Exemption Clauses Ordinance (Cap. 71) and the Supply of Services (Implied Terms) Ordinance (Cap. 457).
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUX ART AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FLUX ART ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(A) THE TOTAL AMOUNT PAID BY YOU TO FLUX ART FOR THE SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) USD 500.
Nothing in these Terms limits or excludes liability to the extent such liability cannot be limited or excluded under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Flux Art and its affiliates, directors, officers, employees, contractors, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your User Content;
- your use of the Services;
- your violation of these Terms; or
- your violation of any law or third-party rights.
Suspension and Termination
We may suspend, restrict, or terminate your access to all or any part of the Services at any time, with or without notice, if:
- you violate these Terms;
- we believe your use creates legal, security, or reputational risk;
- required by law or by a lawful request of a governmental authority; or
- we discontinue the Services or any portion of them.
Upon termination, your right to use the Services will immediately cease. Any provisions that by their nature should survive termination shall survive, including provisions relating to ownership, licenses, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
Changes to the Services or Terms
We may modify, suspend, or discontinue the Services, in whole or in part, at any time.
We may also update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website, updating the "Last Updated" date, or by other reasonable means. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or in connection with these Terms or the Services shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws principles.
You and Flux Art agree that the courts of Hong Kong shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with these Terms or the Services, except where applicable law requires otherwise.
No Third-Party Rights
A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623 of the Laws of Hong Kong) to enforce or enjoy the benefit of any provision of these Terms.
General Terms
These Terms constitute the entire agreement between you and Flux Art regarding the Services and supersede all prior or contemporaneous understandings relating to the same subject matter.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

本服务可能通过 Flux Art 网站、浏览器端界面、移动应用、桌面应用、API、第三方集成及我们不时提供的其他渠道提供。
除非我们另行以书面形式明确说明,否则本服务属于通用型服务,并非为符合特定行业监管要求而设计,包括但不限于 HIPAA、FISMA 或类似合规框架。在需要该等合规要求的场景中,您不得使用本服务。
账户注册与安全
您使用本服务的某些功能时,可能需要创建账户。您同意提供真实、准确、完整的注册信息,并在信息变更时及时更新。
您应负责:
- 妥善保管您的登录凭证;
- 您账户项下发生的所有活动;以及

用户输入与输出
您可以向本服务提交文本、提示词、图像、文件、指令、反馈或其他材料(以下简称"输入内容")。本服务可能基于您的输入内容生成图像、文本、编辑结果、转换结果、设计稿或其他结果(以下简称"输出内容")。输入内容与输出内容合称为"用户内容"。
您陈述并保证:
- 您拥有或已获得提交输入内容所需的一切权利、许可、同意及授权;
- 您的输入内容以及您对输出内容的使用,不会侵犯、盗用或以其他方式违反任何第三方的知识产权、隐私权、公开权、保密义务、合同权利或其他合法权利;且
- 您的用户内容及对本服务的使用均符合本条款及适用法律法规。
您应对您的用户内容以及您对输出内容的使用、发布、分享、授权、商业化或其他依赖行为承担全部责任。
关于训练用途的说明。我们不会使用您的输入内容或输出内容来训练我们自有的基础 AI 模型。我们所对接的第三方模型供应商可能依据其自身政策将提交内容用于其训练或服务改进等目的,该等用途由相关第三方供应商各自的政策约束。在商业可行的情况下,我们会在与第三方的对接中配置为关闭对您内容的训练用途,并将合理努力遵循该等供应商提供的退出(opt-out)机制。
输入与输出的权属
在您遵守本条款的前提下,就您与 Flux Art 之间而言:
- 您保留对输入内容的所有权;且
- 在适用法律允许的范围内,您拥有通过使用本服务为您生成的输出内容的权利。
但您理解并确认:AI 生成内容的可版权性、可登记性及法律保护程度因司法管辖区而异,且仍属法律不断演进的领域。我们不就任何输出内容能否获得著作权、商标、专利、外观设计或其他知识产权登记或保护作出任何陈述或保证;输出内容未能取得上述任何登记或保护,并不构成您可向 Flux Art 主张任何权利的依据。
在遵守本条款的前提下,您可以出于合法目的使用、复制、修改、展示、分发、发布及商业化您的输出内容。
但您理解并同意:
- 输出内容不一定具有唯一性,其他用户可能获得相同或相似的结果;
- 我们不保证任何输出内容一定可以获得著作权、商标权或其他知识产权保护;
- 您有责任在依赖或使用输出内容前自行审查和核验;且
- Flux Art 不陈述或保证您对任何输出内容的使用不会侵犯任何第三方权利。
您授予 Flux Art 的许可
为使我们能够运营和提供本服务,您授予 Flux Art 一项全球范围内、非独占、免版税、可转让、可分许可的许可,允许我们在以下必要范围内存储、托管、复制、修改、改编、传输、展示及处理您的用户内容:
- 运营、维护和提供本服务;
- 改进、开发和保护本服务;
- 防止欺诈、滥用、违法行为及安全威胁;
- 履行法律义务;以及
- 执行本条款。
我们不会仅因您使用本服务而主张取得您用户内容的所有权。
您账户终止或您删除特定用户内容后,上述许可随之终止;但在我们出于合法商业目的所必需的范围内,该等许可在该等必要范围内继续有效,包括但不限于:履行法律和监管合规义务、处理争议与索赔、防范欺诈与滥用、开展安全调查,以及按照我们常规数据留存安排保留的备份或归档副本。
如您向我们提交有关本服务的反馈、建议或创意,您授予我们一项永久的、不可撤销的、全球范围内的、免版税许可,允许我们无需向您支付补偿即可自由使用和利用该等反馈。
可接受使用规则
您同意不会自行或允许他人利用本服务从事以下行为:
- 违反任何适用法律法规;
- 在受美国海外资产控制办公室(OFAC)、联合国安全理事会、欧盟、英国、香港或其他相关主管机构施加的全面经济或贸易制裁、出口管制限制的国家、地区使用本服务,或为该等被制裁的个人、实体、组织的利益、或代表其使用本服务,或从事任何会导致 Flux Art 违反适用制裁、反洗钱、反恐或出口管制法律的行为;
- 侵犯、盗用或违反他人合法权利;
- 生成、上传或传播违法、诽谤、欺诈、辱骂、骚扰、仇恨或其他令人反感的内容;
- 生成、上传、请求、传输或传播任何成人、色情、性暗示、性挑逗或其他 NSFW 内容,无论是否涉及真实人物、无论是否经当事人同意、无论是否在您所在司法管辖区合法。Flux Art 并非获许可的成人内容服务,成人内容在本服务上一律严格禁止;
- 制作、宣传或传播任何涉及儿童性虐待、儿童剥削、对未成年人性化处理的内容,或任何描绘、模拟、暗示未满 18 周岁人士性行为的内容;
- 制作未经同意的私密影像(包括所谓的"一键脱衣"或裸体化内容)、针对任何可识别人物的性化深度伪造、剥削性或骚扰性合成媒体,或对任何个人具有欺骗性的冒充;
- 生成或传播侵犯任何第三方知识产权、商标、形象权或人格权的内容,包括但不限于:(i) 未经授权对受版权保护作品(影视、动漫、书籍、摄影、插画、音乐或游戏素材等)的复制;(ii) 在合理使用 / 公平交易之外生成可识别的受版权保护角色或 IP 形象;(iii) 用以误导或借助权利人商誉的品牌标识、商标、包装外观或商业外观;(iv) 在未获得可验证同意的情况下,生成可识别的真实自然人形象(包括公众人物、名人及普通个人);(v) 故意模仿特定在世艺术家的标志性风格,并将输出呈现或宣传为该艺术家所作或经其背书;
- 生成、发布或传播涉及政治人物、政府官员、候选人、选举活动、选票、投票基础设施等的误导性内容,或任何合理可能干扰民主参与的内容,包括但不限于:被错误归于真实公众人物的 AI 音/视/图、被冒充为真实的虚构言论、欺骗性选举广告,以及意图压制、恐吓或误导选民的内容;
- 从事诈骗、网络钓鱼、垃圾信息、骗局、虚假广告、刷评、身份盗用或任何其他误导性行为;
- 开发或传播恶意软件、勒索软件、恶意代码、有害脚本,或便利网络攻击、未授权入侵或绕过安全控制的指令;
- 干扰、破坏、过载或危害本服务的完整性、安全性或性能;
- 在适用法律明确允许之外,对本服务进行反向工程、反编译、抓取、复制、提取或试图获取源代码、底层模型、数据集或系统组件;或
- 以任何可能损害 Flux Art、其用户或公众利益的方式使用本服务。
如发现违规行为,我们可进行调查,并在适当情况下删除内容、暂停访问、留存未使用积分、保全证据,并向执法机关、监管机构或第三方权利人报告。
内容审核与执行
我们采用自动化内容安全系统与人工审核相结合的方式,识别并处置可能违反本条款、可接受使用规则或适用法律的用户内容及账户行为。我们的审核机制包括但不限于:
- 生成前的提示词过滤——对用户的提示词与参考素材运行安全分类器及关键词 / 策略过滤,识别 CSAM、未经同意的私密影像、涉及真实人物的性内容、可识别的受版权保护角色等被禁类目;
- 上游模型安全层——我们所对接的第三方模型供应商各自部署有安全分类器与拒绝机制,我们尊重并执行其判定结果,不予绕过;
- 生成后的输出扫描——所生成的图像与视频在交付前经过被禁类目扫描,对高置信度命中的输出予以拦截、隔离或删除;
- 用户举报通道——任何人均可通过 [email protected] 举报疑似违规行为;知识产权投诉请按 《版权与知识产权投诉政策》 提交;
- 哈希匹配与已知违规识别——在适用范围内,我们使用行业标准哈希库(包括已确认 CSAM 的相关库)及模式匹配技术,防止已确认违规材料被重新上传;
- 账户级风险信号与滥用评分——重复违规、欺诈信号与异常使用模式将触发升级审核与逐级处置;
- 记录留存与执法配合——对已确认的 CSAM,我们将依法向相关主管机构(如 NCMEC 或同等机构)报告,并按适用法律义务留存证据及账户记录。
我们的分级处置措施包括:警告、提示词拒绝、输出拦截、内容删除、功能限制、积分没收、账户暂停、永久终止,以及在适当情形下移交执法机关、支付处理机构及监管机构。
我们将尽商业合理努力执行上述规则,但任何自动或人工审核体系均非完美,我们不保证所有违规内容均能被检测并阻止。是否发布、分享或进一步传播任何输出内容由您自行决定,您应对自身行为及内容承担责任。
服务相关知识产权
本服务及其中包含的一切软件、源代码、模型、算法、用户界面、设计、商标、标识、图形、汇编内容及其他由 Flux Art 提供的材料,均由 Flux Art 所有或经合法授权使用,并受知识产权法及其他适用法律保护。
除本条款明确允许外,未经我们事先书面同意,您不得复制、修改、分发、出售、出租、转许可或以其他方式利用本服务的任何部分。
"Flux Art"及相关名称、标识和品牌元素系本公司或其关联方的商标或商业外观,未经事先书面许可,您不得使用。
著作权及知识产权投诉
Flux Art 尊重知识产权,并期望用户同样如此。我们另行维护一份 《版权与知识产权投诉政策》,详细列示侵权通知与反通知的提交流程及我们对重复侵权者的处置政策。具体流程与必备信息以该政策为准。
简要而言,侵权通知应发送至 [email protected],并应至少包含:
- 被主张受侵害的作品或权利的说明;
- 被指控侵权材料的定位信息(URL 或账户 ID);
- 您的姓名、地址、电话及电子邮箱;
- 您基于善意相信该使用未经授权的声明;
- 在伪证罪责(或同等真实性声明)下作出的、确认所提供信息真实准确,且您系权利人或经授权代权利人行事的声明;以及
- 您的实体签名或电子签名。
我们将在合理时间内处理依规提交的通知,对涉嫌侵权的内容予以删除或限制访问,并对被认定为重复侵权者的账户予以终止。
订阅费用、计费与取消
11.1 订阅费用与自动续费
订阅我们的 AI 工具和服务(以下简称“服务”)即表示您同意支付与所选方案相关的周期性订阅费用。您的订阅将在每个计费周期(如按月)结束时自动续费,除非您主动取消。您授权 MORNING STAR INDUSTRY LIMITED 及我们授权的第三方支付处理机构在续费期自动向您指定的支付方式扣款。
11.2 计费周期
订阅费用将在每个计费周期开始时预先收取。如您的支付方式扣款失败,我们保留降级您的账户或暂停您使用高级功能的权利,直至有效支付成功处理。
11.3 取消政策
您可随时通过账户设置面板或联系我们的客服团队([email protected])取消订阅。如需避免被收取下一计费周期的费用,您须在当前周期结束前取消订阅。取消后,您仍可继续使用服务的高级功能,直至当前已付费周期结束。
11.4 退款政策
除适用法律另有要求外,订阅订单所发放的积分(即该笔订阅订单分配给您的 AI 生成额度)一经使用即不予退款。如您尚未使用该笔订阅订单所发放的任何积分,您可通过 [email protected] 申请退款。
退款将原路退还至您支付时所用的支付方式。如退款涉及货币兑换,因您付款时点与退款时点之间汇率波动,您最终实际收到的退款金额可能与原始扣款金额有所不同,我们对该等差额不承担责任。因退款产生的支付通道手续费、汇率转换费及其他交易成本,凡在我们与支付处理机构或金融中介之间的协议项下不予返还给我们的部分,可在适用法律允许的范围内从退款金额中扣除;如发生该等扣除,我们将在处理退款前告知您。
我们将在收到退款申请后的 7 个工作日内审核并回复。除上述情形外,我们不对已部分使用的订阅期限、已部分使用的积分或未使用的账户功能提供按比例退款或抵扣。
11.5 未授权扣款与账户安全
您有责任维护您账户凭证的安全。但如果您认为您的账户已被盗用并产生了未经授权的 AI 订阅扣款,请立即通过 [email protected] 与我们联系。经核实确认为账户接管(ATO)后,我们将退还未经授权的扣款并协助您保护账户安全。
第三方服务
本服务可能包含指向第三方网站、应用、产品或服务的链接、集成或相关功能。我们不控制亦不对任何第三方服务、内容、政策或做法承担责任。
您对第三方服务的使用应受该等第三方自身条款和政策约束。
测试版或实验性功能
我们可能提供标注为测试版、预览版、抢先体验版或实验性功能的内容。该等功能可能不完整、不稳定,并可随时在不另行通知的情况下被修改或终止。
测试版或实验性功能按"现状"和"现有"基础提供,不附带任何保证。
免责声明
在适用法律允许的最大范围内,本服务按"现状"及"现有"基础提供。
在适用法律允许的最大范围内,Flux Art 明确否认一切明示、默示、法定或其他形式的保证,包括但不限于关于适销性、特定用途适用性、权属、不侵权、准确性、可靠性或安宁使用的默示保证。
我们不保证:
- 本服务将持续不中断、安全、无错误;
- 任何输出内容将准确、完整、合法、不侵权或适合您的特定用途;
- 任何缺陷都会被纠正;或
- 本服务将满足您的期望或需求。
AI 生成内容可能存在不准确、不完整、偏见、冒犯性或不适当之处。您应在依赖或使用输出内容前自行评估和核验。
本条款中的任何内容,均不排除、限制或修改香港法律项下不得被合法排除或限制的任何条件、保证、权利或救济,包括在适用情形下根据《管制免责条款条例》(香港法例第 71 章)及《服务提供(隐含条款)条例》(香港法例第 457 章)可能产生的相关权利。
责任限制
在适用法律允许的最大范围内,Flux Art 及其关联方、董事、高级职员、员工、承包商、许可方及服务提供商,对因本服务或本条款引起或与之相关的任何间接性、附带性、特殊性、后果性、惩罚性损害,或任何利润、收入、业务、商誉、数据或预期节省损失,均不承担责任,即使其已被告知发生该等损害的可能性。
在适用法律允许的最大范围内,Flux Art 就本服务或本条款产生或相关的全部累计责任总额,不超过以下两者中的较高者:
(A)导致索赔事件发生前连续 12 个月内,您实际向 Flux Art 支付的服务费用总额;或
(B)500 美元。
本条款中的任何内容,均不限制或排除适用法律规定不得限制或排除的责任。
赔偿
对于因以下事项引起或与之相关的任何索赔、诉讼、责任、损害、损失、判决、成本及费用(包括合理律师费),您同意为 Flux Art 及其关联方、董事、高级职员、员工、承包商、许可方及服务提供商进行抗辩、赔偿并使其免受损害:
- 您的用户内容;
- 您对本服务的使用;
- 您违反本条款;或
- 您违反任何法律或第三方权利。
暂停与终止
如出现以下情形,我们可随时全部或部分暂停、限制或终止您对本服务的访问,无论是否事先通知:
- 您违反本条款;
- 我们认为您的使用行为带来法律、安全或声誉风险;
- 法律要求或政府机关的合法要求;或
- 我们决定终止本服务或其任何部分。
服务终止后,您使用本服务的权利将立即停止。根据其性质应在终止后继续有效的条款,在终止后仍继续有效,包括但不限于所有权、许可、免责声明、责任限制、赔偿、适用法律及争议解决条款。
服务或条款的变更
我们可随时修改、暂停或终止本服务的全部或任何部分。
我们也可不时更新本条款。如有重大变更,我们将通过在网站发布更新版本、修改"最后更新日期"或其他合理方式向您发出通知。您在更新条款生效后继续使用本服务,即表示您接受修订后的条款。
适用法律与争议管辖
本条款以及因本条款或本服务引起或与之相关的任何争议、索赔或争议事项,均受香港法律管辖并按香港法律解释,但不适用其法律冲突规则。
除适用法律另有强制性规定外,您与 Flux Art 同意,因本条款或本服务引起或与之相关的任何争议、索赔或争议事项,均由香港法院专属管辖。
第三方无权执行
非本条款一方的人士,无权根据《合约(第三者权利)条例》(香港法例第 623 章)执行本条款的任何条文,或享有本条款任何条文的利益。
一般条款
本条款构成您与 Flux Art 就本服务达成的完整协议,并取代此前或同时期关于同一事项的所有理解、沟通或协议。
如本条款任何规定被认定为无效或不可执行,其余规定仍应继续完全有效。
我们未行使或未执行本条款任何规定,并不构成对该规定或任何其他规定的放弃。
未经我们事先书面同意,您不得转让本条款项下的任何权利或义务。我们可在合并、收购、公司重组或资产出售情形下转让本条款。
